TERMS OF USE

II. Eligibility and User Conduct

You may only use Firnal’s Services if:

​

  • You are at least 18 years old (or the age of majority in your jurisdiction), or using the Services under the supervision of a parent or legal guardian.

  • You have the legal authority to enter into these Terms on behalf of yourself or your organization.

  • You comply with all applicable laws and regulations while using our Services.
     

You agree not to:
 

  • Use Firnal’s Services for any unlawful, fraudulent, or malicious purpose;

  • Copy, scrape, reverse-engineer, or interfere with any software, code, or content;

  • Access or use the Services to build a competing product or service;

  • Misrepresent your identity, impersonate others, or mislead users or Firnal;

  • Upload or transmit viruses, malware, or any code of a destructive nature.
     

We reserve the right to suspend or terminate access to our Services at any time, without liability, for any violation of these Terms.

III. Intellectual Property and Usage Rights

All content, code, data, text, graphics, user interfaces, visual designs, databases, trademarks, and software (collectively, the “Content”) made available through Firnal’s Services is owned or licensed by Firnal and is protected under applicable copyright, trademark, trade secret, and other intellectual property laws.

Unless expressly stated otherwise:

  • You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business or informational purposes only.

  • You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Content for commercial purposes without Firnal’s prior written consent.
     

Unauthorized use of Firnal’s intellectual property may result in legal action.

V. Confidentiality and Client Content

For registered clients and platform users:
 

  • Any data, documents, or business information you upload remains your property.

  • Firnal will treat such content as confidential, subject to applicable contractual NDAs, engagement letters, and privacy protections.

  • You authorize Firnal to use the data solely for service delivery, system operation, analysis, or product improvement purposes, in accordance with your contractual agreement.
     

We may aggregate and anonymize data for analytics and benchmarking, provided no personally identifiable or client-identifiable information is disclosed.

VI. Third-Party Tools and Links

Firnal’s Services may contain links to third-party websites, integrations (e.g., payment processors, analytics providers), or embedded content.

Firnal is not responsible for:
 

  • The content, availability, or practices of third-party sites;

  • Any loss or damage caused by use of third-party services.
     

Use of third-party tools is at your own risk, and subject to their own terms and privacy policies.

VII. Disclaimers

NO WARRANTIES. Firnal’s Services and Content are provided on an “as-is” and “as-available” basis without warranties of any kind, express or implied, including:
 

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement;

  • Assurance of accuracy, completeness, or reliability of data or output;

  • Guarantee that the Services will be uninterrupted, timely, secure, or error-free.
     

Certain insights, models, or guidance made available through Firnal's content or platforms may be strategic or interpretive in nature and are provided solely for informational purposes. They are not a substitute for professional, financial, legal, or operational advice.

VIII. Limitation of Liability

To the fullest extent permitted by law, Firnal and its affiliates, officers, employees, and licensors will not be liable for:
 

  • Any indirect, incidental, special, consequential, or punitive damages;

  • Loss of profits, revenue, data, or business opportunity;

  • Damages arising out of access, use, inability to use, or reliance on the Services.
     

In all cases, Firnal’s aggregate liability under these Terms shall not exceed:
 

  • $100 USD, or

  • The amount paid by you to Firnal (if any) in the 12 months preceding the claim, whichever is greater.
     

Some jurisdictions may not allow these exclusions—your rights may vary accordingly.

IX. Indemnification

You agree to indemnify, defend, and hold harmless Firnal and its affiliates, officers, agents, and employees from and against any third-party claims, demands, liabilities, damages, costs, and expenses (including attorneys’ fees) arising out of or relating to:
 

  • Your use of the Services;

  • Your violation of these Terms or applicable law;

  • Your breach of any intellectual property or confidentiality obligation.

X. Modifications to Terms

Firnal may update or modify these Terms from time to time. When changes are made:

  • We will post the revised Terms on this page with a new “Effective Date”;

  • If changes are material, we may notify users by banner, email, or platform notice;

  • Continued use of the Services after changes constitutes your acceptance of the revised Terms.
     

You are encouraged to review these Terms periodically.

XI. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware and the United States of America, without regard to its conflict of law provisions.
 

Any dispute arising under these Terms shall be resolved by:
 

  • Good-faith negotiation between parties;

  • If unresolved, binding arbitration under the rules of the American Arbitration Association (AAA), seated in Wilmington, Delaware;

  • Judgment on the arbitrator’s award may be entered in any court of competent jurisdiction.
     

Class action waivers and jury trial waivers may apply to the extent enforceable by law.

IV. Client Accounts and Secure Access

Certain Firnal platforms (e.g., Moonbrush, ConceptConnect, Hikmah, client dashboards) may require account registration. By creating an account:
 

  • You agree to provide accurate and complete information;

  • You are responsible for maintaining the confidentiality of your credentials;

  • You are responsible for all activity conducted under your account.
     

Firnal may suspend or terminate accounts that:
 

  • Are used in violation of these Terms;

  • Involve unauthorized access, impersonation, or misuse;

  • Present a security or reputational risk to Firnal or its clients.

By accessing or using our websites, platforms, digital services, or content, whether as a visitor, client, account holder, vendor, or user, you agree to be bound by these Terms of Use (“Terms”), our Privacy Policy, and any additional terms and conditions posted on the applicable site or platform.
